SUMMARY:Creating Exploration Companies - Start Up Template 2
DESCRIPTION:This course will discuss creation of exploration startup ‘Inkubator’ companies with a hands on approach of creating a group start up company and funding it with aspects including legal\, technical and corporate. Day Two will involve operations\, including ongoing funding mechanisms\, shareholder communication and endgame scenarios. \n\n\nProgramme\nCourse description \nStart Up Template will enable resource industry professionals maximise the value of their intellectual capital. This will be achieved by a practical exercise and creation of a joint Company or ‘NewCo’ with exposure to corporate processes to from a leadership or founder position. Ideas generated by technical people on the resources industry including exploration and or mining/processing concepts should be protected not only by patent if possible but by protecting the tenure of the idea. \nThe course is broken into two days of learner centred training detailing group exercise of company formation one day one\, followed by company operations in the early stages. Probable endgames for the company and its new shareholders. \nAn important element to the course is the pivot away from areas of technical comfort all geologists\, engineers or general technical people have\, into the importance of commercialising their ideas without over reliance on a finance industry always ready to monetise an idea without a holistic view on benefits to shareholders\, community and the likely end game or outcome for the enterprise in the medium to long term. \nEarly creation of a capital growth plan is a key area the group will discuss and work on to produce for the joint NewCo. Discussion of real world presentations will also be analysed in a group environment and mock Investment Bank analyst reviews. Day two will equip participants to develop a plan for ongoing operations beyond the period of initiation of the company into the critical post ‘honeymoon’ stage of a NewCo. \nCourse content \nDay One: Company Assembly \nDefinition of an ‘Exploration’ Company and its components. \n\nAsset Selection Methodology – Look to Global Long Term trends\nTeam Selection Methodology – Experience Early\n\n\nCreate – Agree outline of objectives\nEvaluate – Debate Group Company Objectives and Demand for ‘Product’ – ie the shares of the Company\nApply – First Share offer for Seed capital – how to pitch this and structure Share register.\nAnalyse – Post Offer Review positives or negatives – Did we sell it too cheaply or fail to sell it as too expensive?\nUnderstand – Shareholders are now co owners – treat them as such and they will come back for more.\nRemember – We will test our NewCo concept with independent corporates to receive feedback\, and marking of concept will incorporate a German Investment Bankers (DGWA www.dgwa.org)  view of the ability to ‘sell’ the product.\n\nDay Two: Company Operations – Corporate \n\nCapital Growth Program\n\nTypes of Capital Available – Pros and Cons\n\nRights Issues\nPlacements (Private and Public)\nShare Purchase Plans\nDebt Facilities\n\n\n\n\n News Flow Plan\n\nExamples of effective News Flow – the blood in the veins of a cash negative company.\n\n\nShareholder and Stakeholder Communications – Post Seed Capital\n\nImportance of Corporate and Governance Support.\nNormal tension points in the early stages of operations.\nEnd game scenarios.\n\n\n\nType of training \nThis online course is a combination of e-learning\, computer-based learning\, videos and group work (home study). \nObjectives and outcome \nStudents will be able to apply a template as per below of how to commercialise their ideas in the key area of competition and value creation in the Resources Sector – Exploration Tenure and discoveries. \nImplement a funding strategy for the cash negative NewCo with appointment of advisory and or partners using examples of templates to ensure commercial agreements that protect the students interests. \nFurther Education suggestions and contacts – Internship with a stock broker as they will selling your idea in the future. \nLanguage \nEnglish \nRequirements \nParticipants would require their own laptop and a stable high-speed internet connection to take part in this course. \nTarget Group\nThe course intended audience includes; \n\nExperienced industry professionals of larger companies seeking to pursue their own ideas.\nJunior industry professionals seeking to work in corporate or technical role.\nGovernment and or NGO officials seeking to understand the methodologies of the Junior Exploration Sector.
